SELLER POLICY

This Seller Policy governs the relationship between Sparecel Private Limited and all registered sellers on the Platform. By completing seller registration, you agree to this policy.

1. SELLER ELIGIBILITY
  • Must be a legally registered business entity in India.
  • Must hold a valid GSTIN and PAN.
  • Must hold applicable trade licenses as required by state and local law.
  • Must provide a valid business bank account for payment settlement.
  • Must successfully complete Sparecel's KYC and verification process.
2. LISTINGS & PRODUCT INFORMATION

Listings on the Sparecel Platform are created and managed by Sparecel. Sellers are responsible for providing accurate product information, including part names, specifications, compatible vehicles, brand, and condition. Sellers must ensure stock availability is current. Sparecel reserves the right to modify or remove any listing to maintain Platform quality and accuracy.

3. ORDER FULFILLMENT
  • Sellers must fulfill accepted orders promptly and within the committed dispatch timeline.
  • Sellers must generate a GST-compliant invoice for every fulfilled order.
  • Sellers must keep their product availability up to date to avoid order cancellations.
  • Repeatedly unfulfilled or cancelled orders may result in account review.
4. COMMISSION & SETTLEMENT
  • Sparecel charges a platform commission on each completed transaction. Commission rates are communicated at onboarding and subject to revision with prior notice.
  • Payouts are processed after delivery confirmation and completion of the applicable return period.
  • TDS under Section 194-O of the Income Tax Act, 1961 is deducted at applicable rates before disbursement.
  • TCS under Section 52 of the CGST Act, 2017 at 1% of net taxable value is collected and deposited with the government, reflecting in the seller's GSTR-2A.
  • Monthly settlement statements are provided through the Platform.
5. QUALITY & AUTHENTICITY
  • Sellers warrant that all products supplied are genuine, accurately described, and free from material defects unless disclosed.
  • Supply of counterfeit, stolen, or prohibited goods is strictly prohibited and will result in immediate account termination and referral to law enforcement.
  • Sparecel may request proof of product sourcing at any time.
6. RETURNS & REFUNDS
  • If a return is approved due to seller error (wrong part dispatched, damaged delivery), the payout for the returned item is withheld or reversed.
  • Sellers bear reverse logistics costs where the return is due to their error.
  • If a seller is unable to fulfill an order, the buyer receives a full refund with no commission or tax obligations generated for that transaction.
7. PROHIBITED CONDUCT
  • Listing or supplying counterfeit, cloned, or stolen parts.
  • Conducting transactions with Platform-sourced buyers outside the Platform.
  • Manipulating reviews or buyer feedback.
  • Sharing buyer data obtained through Sparecel for any purpose other than order fulfillment.
8. SUSPENSION & TERMINATION
  • Sparecel may suspend a seller account pending investigation of any policy violation or fraud.
  • Payouts are held during suspension until resolution.
  • Termination for cause may result in forfeiture of commissions earned through prohibited activity.
  • Sellers may request voluntary account closure with advance notice. Pending orders must be fulfilled before closure is processed.
9. AMENDMENTS

Sparecel reserves the right to update this policy at any time. Sellers will be notified of material changes with prior notice. Continued use of the Platform constitutes acceptance of the revised terms.
