TERMS & CONDITIONS

These Terms and Conditions ("Terms") form a legally binding agreement between you ("User") and Sparecel Private Limited ("Sparecel", "we", "our", or "us") governing your access to and use of the Platform. By using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

1. ELIGIBILITY
  • You must be at least 18 years of age.
  • You must be legally capable of entering a binding contract under the Indian Contract Act, 1872.
  • Business entities must be duly registered under applicable Indian law.
  • Sparecel reserves the right to refuse Platform access to any user at its sole discretion.
2. ACCOUNT REGISTRATION
  • You must provide accurate, complete, and current information at registration and keep it updated.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • All activity under your account is your responsibility. Report unauthorized access immediately to info@sparecel.com.
  • Sparecel reserves the right to suspend accounts that provide false information or violate these Terms.
3. NATURE OF THE PLATFORM

Sparecel is a B2B marketplace platform connecting automotive parts suppliers with mechanics and workshops across India. Sparecel does not itself manufacture or directly sell spare parts. All transactions are between independent buyers and sellers. Sparecel facilitates the marketplace and earns platform charges for this service.

4. PLATFORM LISTINGS

Product listings on the Sparecel Platform are created and managed by Sparecel on behalf of registered sellers. Sparecel ensures reasonable accuracy of product information but shall not be liable for errors arising from incorrect information provided by sellers. Sparecel reserves the right to add, modify, or remove any listing at its discretion.

5. ORDERS & PRICING
  • Placing an order constitutes a binding purchase intent by the buyer, subject to seller fulfillment.
  • All prices are in Indian Rupees (INR) and inclusive of GST unless stated otherwise.
  • Sparecel is not liable for pricing errors arising from seller-provided information.
6. INTELLECTUAL PROPERTY

All content on the Platform, including the Sparecel brand, logo, software, and design, is the exclusive property of Sparecel Private Limited. Users are granted a limited, non-exclusive license to use the Platform for its intended purpose only. Reproduction or distribution of Platform content without written permission is prohibited.

7. PROHIBITED ACTIVITIES
  • Listing, selling, or purchasing counterfeit, stolen, or prohibited goods.
  • Conducting transactions with Platform-sourced contacts outside the Platform to avoid commissions or taxes.
  • Using automated tools, bots, or scrapers to access or extract Platform data.
  • Any activity that violates applicable Indian laws including consumer protection, GST, and competition regulations.
  • Harassment, abuse, or threats directed at other users or Sparecel staff.
8. DISCLAIMER OF WARRANTIES

The Platform is provided on an "as is" basis. Sparecel makes no warranties regarding uninterrupted operation, error-free service, or the accuracy of third-party content. Sparecel does not warrant that parts listed by sellers are genuine OEM unless specifically certified.

9. LIMITATION OF LIABILITY

Sparecel's aggregate liability shall not exceed the value of the disputed transaction. Sparecel is not liable for indirect, incidental, or consequential damages. Sparecel is not responsible for losses arising from delayed delivery, incorrect parts shipped by sellers, or misuse of parts by buyers.

10. INDEMNITY

You agree to indemnify Sparecel Private Limited, its directors, employees, and agents from any claims, damages, or expenses arising from your use of the Platform, violation of these Terms, or infringement of third-party rights.

11. GOVERNING LAW & DISPUTES

These Terms are governed by the laws of India. Disputes shall first be addressed through Sparecel's grievance mechanism. Unresolved disputes are subject to the exclusive jurisdiction of courts in Haryana, India.

12. AMENDMENTS

Sparecel reserves the right to modify these Terms at any time. Changes will be published on the Platform with a revised effective date. Continued use after changes constitutes acceptance.
